Terms of Service

Definitions

• "Service" — the Agentic Commerce Platform, including the Shopify embedded app, the Hub at useao.ai, the Theme App Extension, the merchant MCP endpoint (/mcp), the buyer MCP endpoint (/mcp/buyer), and the BDM MCP endpoint (/mcp/bdm).
• "Merchant" / "You" (merchant context) — the store owner or authorised representative who connects a catalog to AGC and receives orders through the platform.
• "Buyer" / "You" (buyer context) — an individual or organisation that creates an AGC buyer account and transacts through AI agents connected to the AGC buyer MCP endpoint.
• "Developer" — an individual or organisation that integrates with AGC MCP endpoints to build AI agent experiences.
• "BDM" / "Partner" — an authorised business development manager or network operator who provisions and manages merchant accounts via the BDM MCP endpoint.
• "Hub" — the platform core at useao.ai, responsible for catalog management, enrichment, order processing, and Firestore data storage.
• "AGC Catalog" — the unified, normalised index of merchant product data accessible to AI buyer agents via the buyer MCP endpoint.
• "Product Data" — merchant product catalog data: titles, descriptions, images, prices, variants, metafields, and inventory data.
• "Enriched Attributes" — AI-generated vertical attributes (e.g. roast_level, flavor_notes) suggested by Gemini and approved by the merchant.
• "Execution Mode" — the merchant setting that permits AI agents to complete purchases autonomously on behalf of buyers without a separate checkout page.
• "Five Dollar Workday" / "We" / "Us" — the operator of the Agentic Commerce Platform.

Account & Eligibility

Merchants

• You must have a valid Shopify store or an AGC-native merchant account to use the merchant Service.
• You must be at least 18 years of age and have the legal authority to bind your organisation to these Terms.
• You are responsible for maintaining the security of your credentials. We are not liable for losses from unauthorised access to your account.
• You must provide accurate information when prompted and keep it up to date.
• One merchant account per shop domain. Sharing access credentials between stores is not permitted.

Buyers

• You must create an AGC buyer account with a valid email address to transact through AI agents.
• You must be at least 18 years of age, or have the consent of a parent or guardian.
• You are responsible for all purchases made through AI agents connected to your buyer account.
• You are responsible for maintaining the security of your buyer account credentials and any saved payment methods.

Developers & Partners

• Developers must agree to AGC's API terms before accessing MCP endpoints programmatically.
• BDM and partner access is granted by Five Dollar Workday on an invitation basis.
• Partners are responsible for the merchants they provision and must ensure those merchants comply with these Terms.

Acceptable Use

You may use the Service only for its intended purpose: legitimate commerce between merchants and buyers, mediated by AI agents, within the AGC network.

All users agree NOT to:

• Use the Service to process, store, or transmit data from accounts you do not own or are not authorised to manage.
• Attempt to reverse-engineer, circumvent, or exploit the audit scoring model, enrichment pipeline, payment infrastructure, or MCP authentication system.
• Submit product descriptions or buyer instructions containing unlawful content, spam, or intentionally misleading information.
• Use any AGC MCP endpoint for any purpose other than legitimate commerce within the AGC network.
• Attempt to gain unauthorised access to other merchants' or buyers' data, Firestore collections, or Hub infrastructure.
• Resell, sublicense, or white-label the Service without written consent from Five Dollar Workday.
• Use automated scripts or bots to place fraudulent orders, manipulate catalog scores, or abuse the enrichment pipeline.

Merchants additionally agree NOT to:

• Enable Execution Mode for products or services that are unlawful, regulated without proper licensing, or violate Shopify's Acceptable Use Policy.
• Misrepresent product availability, pricing, or attributes in the AGC catalog.
• Use the merchant MCP endpoint in violation of Shopify's Terms of Service or Partner Program Agreement.

Buyers additionally agree NOT to:

• Authorise AI agents to place orders with fraudulent payment methods or stolen card details.
• Attempt to circumvent merchant spending guardrails or approval requirements through agent manipulation.
• Dispute legitimate charges with their payment provider without first contacting the merchant or AGC support.

Data Ownership & Intellectual Property

Merchant data

• Merchants retain full ownership of their Product Data. We access it only to provide the Service.
• Merchants grant us a limited, non-exclusive licence to fetch, process, enrich, and store Product Data solely to run audits, generate Enriched Attributes, and make products discoverable in the AGC Catalog.
• Enriched Attributes written back to a Shopify store (metafields) or the AGC native catalog become part of the merchant's data. Merchants own them.
• We do not claim ownership over merchant product catalogs or enriched output.

Buyer data

• Buyers retain ownership of their personal data. We process it only to facilitate transactions and provide the Service.
• Order history and account data are stored in Firestore and are accessible to the buyer via the buyer MCP endpoint.
• Buyers may request deletion of their account and associated data at any time — see our Privacy Policy.

Our intellectual property

• The Agentic Commerce Platform, including the audit engine, vertical scoring model, Gemini enrichment prompts, MCP server implementations, and JSON-LD Theme Extension, is owned by Five Dollar Workday.
• "Agentic Commerce Platform" and the AC logo are trademarks of Five Dollar Workday.
• You may not copy, modify, distribute, or create derivative works from our platform code.

Payment & Billing

AGC platform — transaction fee

• Merchants using the AGC execution layer are charged a 5% fee on each order completed through an AI agent via Stripe Connect.
• The fee is deducted automatically at the time of payment processing via Stripe Connect. Merchants receive the net amount.
• No monthly fee applies to the AGC platform. The fee is charged only when an AI agent completes a sale.
• Buyers are not charged platform fees. The price shown in an AI agent quote is the total the buyer pays.

Shopify enrichment plans

• Paid enrichment plans are billed through the Shopify Billing API on a monthly or annual basis. All charges appear on the Shopify invoice.
• All fees are in U.S. dollars.
• Subscriptions automatically renew unless cancelled before the renewal date.
• Free plan usage limits (audit runs, enrichment calls per month) are enforced by the Hub. Exceeding limits requires an upgrade.

Payment processing

• Buyer payments for AGC orders are processed by the merchant via Stripe Connect, with AGC acting as the technical facilitator. AGC does not store payment card details.
• Merchants must connect a Stripe Connect account before enabling Execution Mode.
• Stripe's terms of service apply to all payment processing. Disputes are subject to Stripe's dispute resolution process.

Refunds

Merchant refunds for AGC orders are processed via Stripe and initiated by the merchant through the AGC order management tools. Buyers seeking a refund should contact the merchant directly. If unresolved, contact us at fivedollarworkday@gmail.com within 30 days of the charge. Shopify plan fees are non-refundable except as required by applicable law or as provided in Shopify's billing policies.

Cancellation & Termination

Merchant rights

• Merchants may cancel their Shopify subscription at any time by uninstalling the app from Shopify Admin.
• Merchants may disconnect their AGC platform account at any time by contacting support.
• Cancellation takes effect at the end of the current billing period for paid plans. Access to paid features is retained until then.
• Uninstalling the app triggers deletion of the access token and schedules deletion of catalog and audit data (see Privacy Policy).

Buyer rights

• Buyers may close their AGC account at any time by contacting fivedollarworkday@gmail.com.
• Outstanding orders at the time of account closure must be fulfilled before account data is deleted.
• Saved payment methods are removed from Stripe on account deletion.

Our rights

• We may suspend or terminate any account if you violate these Terms, misuse the Service, or engage in fraudulent activity.
• We may terminate inactive free merchant accounts after 12 months of no audit or order activity.
• We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.
• We will not terminate active paid merchant accounts without at least 30 days' notice except in cases of material breach.
• We may suspend buyer accounts that trigger excessive disputes, fraudulent orders, or abuse of the agent execution layer.

AI Agent Transactions

AGC enables AI agents to complete purchases on behalf of buyers. By using the buyer MCP endpoint, you acknowledge and agree to the following:

• You are responsible for all purchases made by AI agents authenticated with your buyer account, including purchases made autonomously within your configured spending limits.
• AGC presents a confirmed quote — including the full total — before any purchase is executed. A purchase is only executed after the buyer confirms.
• Merchants who enable Execution Mode acknowledge that AI agents may complete purchases from their catalog without a human checkout flow, and that all such orders are binding.
• Spending guardrails set by merchants (maxOrderSpendDollars, shippingCostGuardrailPct) are enforced by AGC but are not a guarantee against all unexpected charges. Buyers should configure their own spending limits.
• AGC is not liable for orders placed by AI agents acting within their authorised scope, including reorders, wholesale replenishments, or repeat purchases triggered by agent memory.

Warranties & Limitation of Liability

• We do not warrant uninterrupted or error-free operation of the Service.
• AI Readiness scores are indicators, not guarantees of agent recommendations or sales.
• We are not liable for decisions made by third-party AI systems (Claude, ChatGPT, Gemini) regarding product discovery or purchase execution.
• We are not liable for fulfillment delays, carrier failures, or shipping issues arising from Shippo or third-party carriers.
• Our total liability for any claim arising from use of the Service is limited to the fees paid by you in the 12 months preceding the claim.
• We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost orders, or data loss.

Third-Party Services

The Service integrates with third-party platforms. Your use of those platforms is governed by their own terms:

• Shopify — merchant store data is accessed via Shopify APIs subject to Shopify's API Terms of Service and Partner Program Agreement.
• Stripe — payment processing for AGC orders is subject to Stripe's Terms of Service and Connected Account Agreement. Merchants connecting Stripe Connect must comply with Stripe's requirements.
• Shippo — shipping label generation and carrier rate fetching is subject to Shippo's Terms of Service. Merchants connecting Shippo must comply with Shippo's requirements and carrier terms.
• Google Gemini API — product descriptions sent for enrichment are subject to Google's Gemini API Terms of Service.
• Firebase / Google Cloud — data is stored on Google infrastructure subject to Google Cloud Terms of Service.

We are not responsible for the availability, accuracy, or actions of these third-party services.

Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via a notice in the app dashboard or by email at least 14 days before the effective date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you disagree with material changes, you may cancel your account before the effective date.

Governing Law

These Terms are governed by the laws of the jurisdiction in which Five Dollar Workday operates, without regard to conflict of law principles. Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the competent courts of that jurisdiction.
